1. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these requirements. If you are using our Services on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

OnTheScroll provides an agentic growth system for businesses, which may include but is not limited to:

• AI-powered content creation, social media management, and audience growth strategies
• Lead generation, qualification, and customer acquisition systems
• Marketing consulting, strategy calls, and implementation support
• Access to proprietary templates, frameworks, training materials, and community resources
• Automated campaign management and performance optimization tools

The specific scope of Services provided to you will be outlined in your service agreement, order form, or checkout confirmation.

3. Accounts and Registration

Certain features of our Services may require you to create an account or provide personal information. When doing so, you agree to:

• Provide accurate, complete, and current information at all times
• Maintain the confidentiality of your account credentials and not share them with any third party
• Notify us immediately of any unauthorized access to or use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe are being misused.

4. Fees and Payment

4.1. Pricing

All pricing is outlined on our checkout page, order form, or in your individual service agreement. Prices are quoted in USD unless otherwise specified.

4.2. Payment Terms

Payment is due at the time of purchase or according to the schedule specified in your service agreement. We accept payment through Stripe and other payment methods made available on our platform.

4.3. Refund Policy

All payments are non-refundable once any part of the Services has been accessed or delivered. This includes, but is not limited to: strategy calls, onboarding sessions, community access, templates, training materials, and any AI-generated deliverables.

4.4. Failed Payments

We reserve the right to suspend or limit access to Services for overdue or failed payments. You are responsible for ensuring your payment method is valid and has sufficient funds.

5. Chargebacks and Disputes

By using our Services, you agree not to initiate a chargeback or payment dispute without first contacting us at hello@onthescroll.ai to attempt resolution in good faith. We commit to responding to all payment inquiries within 5 business days.

Initiating a chargeback without prior good-faith contact will be considered a breach of these Terms. In such cases, we reserve the right to suspend your access to Services, pursue recovery of the disputed amount, and take appropriate legal action.

6. Use of AI Services

6.1. AI Disclaimer

Our Services utilize artificial intelligence and machine learning technologies. You acknowledge and agree that:

• AI-generated content may occasionally contain inaccuracies, errors, or inappropriate material. You are responsible for reviewing and verifying all AI-generated output before using it for any professional, commercial, or public purpose.
• We do not guarantee that AI Services will be error-free, uninterrupted, or produce specific results.
• AI technology evolves rapidly, and the quality, features, and capabilities of our AI Services may change over time.

6.2. Content Ownership

You retain ownership of the input and data you provide to our AI Services. You grant us a non-exclusive, worldwide, royalty-free license to use your input solely for the purpose of providing and improving our Services. AI-generated outputs created for you as part of your service engagement are yours to use commercially.

7. Intellectual Property

7.1. Our Property

All content, software, templates, frameworks, methodologies, branding, and technology provided through our Services are the exclusive property of OnTheScroll or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works, publicly display, or otherwise exploit any of our proprietary materials without prior written consent.

7.2. Shared Systems

Our programs may include proprietary templates, prompts, and frameworks that are used across multiple client engagements for efficiency and faster deployment. These tools are customizable and designed to be implemented with our guidance. The use of shared systems and methodologies does not constitute misrepresentation.

7.3. Your Content

You retain all ownership rights to content you create or provide through our Services. By uploading content to our platform, you grant us a limited license to use it as necessary to deliver our Services.

8. Client Responsibilities

To receive the full benefit of our Services, you agree to:

• Participate fully in your program by attending scheduled calls, completing assigned tasks, and implementing provided strategies
• Provide timely access to necessary accounts, assets, and information as reasonably required for service delivery
• Maintain open communication and respond to requests within reasonable timeframes
• Comply with all applicable laws and regulations in your use of our Services and any content or campaigns we create on your behalf

Failure to engage, implement recommendations, or respond to communications may void any conditional guarantees or timelines and does not entitle you to a refund.

9. Results Disclaimer

We make no guarantees regarding specific outcomes, revenue, lead volume, or business results. While our system is designed to improve client acquisition performance, your results depend on numerous factors including your business model, market conditions, effort, implementation quality, and competitive landscape.

Any case studies, testimonials, or example results shared on our website or marketing materials represent individual outcomes and are not a guarantee of what you will achieve. Past performance does not guarantee future results.

Where we offer a performance guarantee (such as our 90-day guarantee), the specific terms and conditions of that guarantee will be outlined in your service agreement.

10. SMS and Electronic Communications

By providing your phone number and opting into our SMS program, you consent to receive recurring text messages from OnTheScroll regarding service updates, appointment reminders, and promotional content.

• Message frequency varies based on your engagement level.
• You may opt out at any time by replying "STOP" to any message.
• For help, reply "HELP" or email hello@onthescroll.ai.
• Message and data rates may apply.
• Carriers are not liable for delayed or undelivered messages.

By providing your email address, you consent to receive electronic communications from us, including service notifications, marketing emails, and transactional messages. You may opt out of marketing emails at any time.

11. Acceptable Use

You agree not to use our Services to:

• Violate any applicable local, provincial, national, or international law or regulation
• Infringe upon the intellectual property or privacy rights of any third party
• Transmit any harmful, threatening, abusive, defamatory, or otherwise objectionable content
• Attempt to gain unauthorized access to our systems, servers, or networks
• Use our Services to send spam, phishing, or other unsolicited communications
• Reverse engineer, decompile, or disassemble any aspect of our technology or Services
• Resell, sublicense, or redistribute our Services, templates, or materials without written permission

12. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information exchanged during the course of our engagement. This includes, but is not limited to, business strategies, financial data, client lists, marketing campaigns, and technical processes. Confidentiality obligations survive the termination of these Terms for a period of 2 years.

13. Termination

13.1. By Us

We may suspend or terminate your access to our Services immediately, without prior notice, if you breach these Terms, fail to make required payments, or engage in conduct that we reasonably believe is harmful to our business, employees, or other clients.

13.2. By You

You may cancel your engagement with us by providing written notice to hello@onthescroll.ai. Cancellation does not entitle you to a refund for Services already delivered or accessed.

13.3. Effect of Termination

Upon termination, your right to access our Services, community, templates, and materials will cease. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and dispute resolution) will remain in effect.

14. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

15. Limitation of Liability

To the maximum extent permitted by applicable law, OnTheScroll and its directors, officers, employees, agents, partners, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or related to your use of or inability to use our Services.

In no event shall our total aggregate liability exceed the amount you have paid to us for Services in the 12 months preceding the claim. This limitation applies regardless of the legal theory under which the claim is brought (contract, tort, negligence, strict liability, or otherwise).

16. Indemnification

You agree to indemnify, defend, and hold harmless OnTheScroll and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you provide through our Services.

17. Dispute Resolution

17.1. Informal Resolution

Before initiating any formal proceedings, you agree to first contact us at hello@onthescroll.ai and attempt to resolve the dispute informally for at least 30 days.

17.2. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

17.3. Jurisdiction

Any disputes arising under these Terms that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of the Province of Quebec, District of Montreal.

18. Third-Party Services

Our Services may integrate with or contain links to third-party platforms, tools, and services (including but not limited to Stripe, Meta, Go High Level, Calendly, and others). We are not responsible for the availability, accuracy, content, or practices of these third-party services. Your use of third-party services is governed by their respective terms and policies.

19. Force Majeure

We shall not be liable for any delay or failure to perform our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, war, terrorism, labor disputes, power outages, internet disruptions, or failures of third-party services.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

21. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements or order forms, constitute the entire agreement between you and OnTheScroll regarding your use of our Services. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and us regarding the subject matter herein.

22. Changes to These Terms

We reserve the right to modify these Terms at any time at our sole discretion. When we make material changes, we will update the "Last Updated" date at the top of this page and, where required, provide notice through our website or via email. Your continued use of our Services after any changes constitutes acceptance of the updated Terms.
